FOTL Executive Board Acts to Resolve Election Dilemma
Temporary Installation of Slate of Nominees
Action Prompted by COVID-19 Restrictions
By a majority vote of the executive board of directors, a temporary suspension of FOTL’s bylaws governing the election of officers has been approved to fill upcoming vacancies as terms of the existing board members end June 30. As a result of the action taken in a Zoom board meeting on May 26, the nominating committee’s slate of candidates will assume temporarily their respective positions as officers on July 1.
The bylaw in question is Article IV, Sections 2 and 3 calling for a general meeting in May of the membership to elect a new board from a slate of nominees presented by the nominating committee. Such a meeting could not be held in light of the restrictions imposed by the coronavirus pandemic.
This action follows the nominating committee’s careful research of California laws governing nonprofit organizations as well as applicable sections of Robert’s Rules of Order covering temporary suspension of bylaws. Both President Dorothy Boesch and 1st Vice-President Dina Chavez stressed the temporary nature of this action and that a general membership meeting will be convened at the earliest possible date for the purpose of conducting a formal election of the slate of officers for the 2020-2021 term

Letter to Members on Newsletter Correction
We would like to correct a statement in our current newsletter concerning an article on Love at First Bite. It stated that this caterer had been selected to be our caterer for our upcoming events. The board had voted to try a number of caterers which Love at First Bite was the first to be chosen.
We look forward to being at the library again and having our luncheons and authors. We also wanted to recognize Margo Ferris who has been our dedicated caterer for 30 years and we are grateful to her for her all the wonderful meals she has done for the FOTL and her support of the library.
